The Code of Conduct is the cornerstone of ACCIONA Energía's ethics and compliance culture and aims to set out the values and principles that should guide the behaviour of all Group companies and the third parties with which they interact.

 

All Members of the Organisation, regardless of their hierarchical position and geographical location, must comply with this Code of Conduct.

 

This Code of Conduct was approved by ACCIONA Energía's Board of Directors on May 10th 2007 and was last updated on November 13th 2024.

Fundamental principles against corruption

 

ACCIONA Energía openly expresses its support and respect for the fundamental tenets of the fight against corruption as laid out in the United Nations Convention against Corruption.

 

In 2015, as a further step towards ACCIONA's aim to follow the best corporate governance practice, the Company established a compliance function with the creation of a new Unit that reports directly to the executive chairman and the Audit Committee of the Board of Directors.

 

In doing so, it is committed to working against corruption in all its forms, including extortion or instigation of criminal offences, bribery, conflict of interest, influence peddling, falsification of documents, money laundering, insider trading, and fraud.

 

 

Operating standards

 

ACCIONA Energía undertakes to avoid all forms of corruption and to comply with all applicable laws and regulations.

 

The ACCIONA Group's Anti-Corruption Guidelines provide compliance guidelines to prevent misconduct and are applicable and compulsory for all employees and third parties with which ACCIONA Energía works (including agents, brokers, advisers, consultants and suppliers).

The commitment of all in ACCIONA Energía to act ethically and with integrity, opposing any type of illegal activity.

 

The Board of Directors of Acciona Energía has approved the crime prevention and anti-bribery policy. Its goal is to reiterate to all administrators, managers, employees and third parties involved in the Group a resounding message against any form of criminal offence, particularly corruption in our operations.

 

The commitment of all ACCIONA staff to act ethically and with integrity and in respect of the rules is also set out in the Code of Conduct and the Anti-Corruption Guidelines. As a company governed by ethics and corporate transparency, ACCIONAEnergía  rejects all forms of unfair competition.

 

Similarly, the Code of Conduct lays out behavioural patterns and anti-corruption and anti-bribery measures, and it calls on employees to comply with current law. Without exception, ACCIONA Energía will not tolerate any attempt to bribe the Company, any of its employees or viceversa. In addition, and among other ethical principles, the Code of Conduct promotes free competition.

ACCIONA Energía undertakes to respect the human rights and public freedoms recognized in the United Nations Universal Declaration of Human Rights.

 

In 2021, ACCIONA Energía has updated  the Human Rights Policy with the aim of aligning it even more to the stipulations in the United Nations Guiding Principles on Business and Human Rights. Following the United Nations Guiding Principles on Business and Human Rights, ACCIONA Energía is working on implementing a due diligence process involving:

  • Identification and evaluation of its actual and potential impacts.

  • Establishment of specific processes and procedures, in order to introduce preventive measures on the potential impacts identified.

  • Development of mechanisms to remedy the impacts that have already been caused or that it has contributed to causing.

Human Rights Policy

In relation to local community rights and labour rights that may be affected by its activities, ACCIONA Energía is studying, through its Social Impact Management (SIM) methodology, potential human rights violations that a specific project or service could cause in the communities and other stakeholders, among other factors. 2019, risks of potential human rights violations were identified in 30 of the projects in which the SIM methodology was implemented. In all these cases, measures were taken to keep such violations from occurring.

 

As regards the supply chain, ACCIONA Energía has diverse mechanisms in place to help prevent human rights violations, such as the Self-Declaration of Responsibility for Suppliers, Ethical Principles for Suppliers, Contractors and Partners, Risk Maps, and so on.
